Referral Programme Terms and Conditions

These Referral Programme (“Programme”) Terms and Conditions form part of the Terms of Service available at https://bluepear.net/terms-of-use (“Terms of Service”). By using the Website through your registered account, you automatically accept these Terms and Conditions. Please read them carefully and ensure that you fully understand each provision set out below. If you do not understand or do not agree with any provision, you must stop using the Service immediately. Contact us if you have any questions regarding the Service.

1. Programme Overview

1.1 Overview

To participate in the Programme, you must be a registered Bluepear user with an active account. Your account provides access to a dedicated “Referral” page, where you can generate a unique Referral Link to share with potential new users. You will receive a reward for each eligible new user who enrolls through your Referral Link.

1.2 Definitions

Bluepear (“we”, “us”, “our”, or the “Company”) means BLUE PEAR MARKETING LTD, a company registered under the laws of UK with its registered address at 175 Darkes Lane, Brosnan House, Suite 2B, Potters Bar, England, EN6 1BW, operating through the Website https://bluepear.net/.

Referrer (“you”, “your”) means an existing Bluepear user with a registered account who is eligible to create and share a Referral Link.

Referral means a new Bluepear user who has not previously held a Bluepear account and who accesses the Website via a valid Referral Link.

Referral Link means a unique URL generated within a Bluepear user account for participation in the Programme.

Qualifying purchase means the successful acquisition of a Bluepear subscription by a Referral, provided that this user registered on the Website within the 30-day attribution period from the initial click on the Referral Link.

1.3 Referrer Eligibility Criteria

  • You must be at least 18 years old or otherwise have full legal capacity under the laws of your jurisdiction.
  • You must maintain an active Bluepear account at the time a referred customer converts through your Referral Link. Your subscription status (paid, suspended, cancelled) does not affect eligibility; both paid and free-trial accounts may participate.
  • You must not engage in any prohibited or fraudulent activity, including but not limited to:
    • self-referrals (including creating or funding another account using your own Referral Link),
    • reselling subscriptions,
    • email spamming,
    • use of disposable email domains.
    Any such behaviour will result in forfeiture of rewards.
  • Participation in the Programme does not create any employment, agency, fiduciary, or similar relationship between you and Bluepear. You act solely as an independent party.

2. Programme Rules

2.1 Use of Referral Link

You may copy and share your Referral Link via your account dashboard for promotional purposes among friends, partners, or through your social media.

You must not use the Referral Link for the purpose of:

  • engaging in cookie stuffing, pop-ups, deceptive, misleading, or manipulated linking practices;
  • redirecting users to any other websites for commercial or non-commercial purposes;
  • intercepting or diverting internet traffic;
  • replacing the landing page with malicious or harmful materials such as viruses, trojans, worms, or similar;
  • displaying the Referral Link on websites or apps containing or referencing nudity, pornography, sexually explicit materials, weapons, graphic violence (including violent video game imagery), alcohol, drugs, disasters, accidents, sensitive social issues, misinformation, gambling, or any content that is offensive, hateful, harmful, profane, defamatory, threatening, discriminatory, harassing, or otherwise inappropriate, as determined by us in our sole discretion;
  • promoting your own products or services by presenting the Referral Link as a discount, coupon, or promotional code;
  • misrepresenting yourself as a Bluepear employee or representative.

The Referral Link remains valid indefinitely.

To receive a reward, the referred person must register as a new user and purchase a Bluepear subscription (“Service”) within 30 days from clicking the Referral Link.

By accessing the Service through a Referral Link, certain data relating to both the referred user and the referrer will be transmitted to our internal systems for tracking and administering the Programme. Your dashboard will display basic information about users who registered via your Referral Link.

Referral attribution is tracked through session data stored for 30 days. If the visitor does not register within that timeframe, they will not be considered a Referral and no reward will be issued.

2.2 Compliance

While participating in the Programme, you must comply with the Terms of Service, this Programme’s Terms and Conditions, and all applicable laws, including but not limited to:

  • the EU General Data Protection Regulation (2016/679),
  • the Data Protection Act 2018,
  • the Online Safety Act 2023,
  • the Privacy and Electronic Communications Regulations 2003,
  • the Digital Markets, Competition and Consumers Act 2024.

3. Rewards and Payouts

Specific reward amounts and payment models (e.g. CPA, RevShare etc.) are determined individually and specified on your referral dashboard. The reward rate displayed on your referral dashboard at the time the Referral completes a Qualifying purchase shall apply. The Company reserves the right to modify reward rates and payment models at its sole discretion. Updated terms are considered communicated once published in your account, such changes will apply prospectively and will not affect rewards for Referrals already pending prior to the change. Continued participation constitutes acceptance of the updated terms.

Payouts of accumulated rewards shall be processed only upon reaching the minimum payout threshold which is USD 100 or less if agreed individually, and payouts may be processed no more than once per month. Available payout methods depend on your preferences and supported systems and may require additional agreements or access to third-party payment providers.

4. Account Termination

In the event of reasonable suspicion or determination of a material violation of these Programme rules by the Referral (including, but not limited to, fraudulent activity), we reserve the right to immediately suspend the account, deny a withdrawal request, and terminate the Referral's involvement in the Programme. Should the violation be conclusively determined, accumulated rewards associated with the violation may be forfeited. We undertake to provide the Referral via referral dashboard of the grounds for suspension or termination.

If we suspect a violation of these Programme rules, we may deny a withdrawal request and terminate your Bluepear account in accordance with Section 2.1.

5. Trademarks and Intellectual Property

All trademarks and intellectual property rights are owned exclusively by Bluepear. We grant you a non-exclusive, non-transferable, non-sublicensable, revocable and limited right to use and display our logos, trade names and similar identifying materials that are designated by Bluepear solely in connection with promoting your Referral Link.

You are strictly prohibited from creating social media accounts or similar profiles using our logos, trademarks, or identifying materials for the purpose of impersonation or misleading representation in connection with the Programme.

6. Confidentiality

Both Parties agree not to disclose any Confidential Information obtained through the Programme to any third party.

7. Data Protection

We do not request or require you to provide personal data of potential Referrals. Referred users submit their information independently during registration and are not considered connected to the Referrer after registration.

8. Representations and Warranties

By participating in the Programme, you represent and warrant that:

  • You will use the platform in accordance with these Terms and Conditions and all applicable laws.
  • You are not breaching any other contracts or obligations by entering the Programme.
  • No third-party consents are required for your participation.
  • You will not infringe any intellectual property rights, including trademarks, copyrights, patents, or trade secrets.
  • You will not, directly or indirectly, engage in unfair, misleading, unethical, anti-competitive, or deceptive practices.
  • You will not collect personal data or contact individuals with promotional materials.

Any breach constitutes a material breach and requires returning all improperly obtained rewards.

9. Limitation of Liability and Indemnification

THE PROGRAMME, YOUR REFERRAL LINK, THE WEBSITE, THE DASHBOARD ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. BLUEPEAR HEREBY EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT, OR ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING OR PERFORMANCE.

BY NO MEANS BLUEPEAR WILL NOT BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR LOST PROFITS OR REVENUES IN CONNECTION WITH THIS PROGRAMME.

BLUEPEAR SHALL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS, OR LOSS OF DATA CAUSED BY OPERATION OF THE SITE OR DASHBOARD THAT WAS NOT UNDER CONTROL OF THE COMPANY.

THE COMPANY’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF FEES PAYABLE TO YOU UNDER THE PROGRAMME AT THE TIME OF THE EVENT GIVING RISE TO LIABILITY.

YOU AGREE TO INDEMNIFY AND HOLD BLUEPEAR AND ITS AFFILIATES HARMLESS FROM ANY THIRD-PARTY CLAIMS RESULTING FROM YOUR BREACH OF THESE RULES, OR YOUR IMPROPER USE OF THE PROGRAMME, OR YOUR VIOLATION OF APPLICABLE LAW OR THIRD-PARTY RIGHTS.

10. Governing Law and Dispute Resolution

10.1 Applicable Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales without giving effect to any choice-of-law or conflict-of-law provisions.

10.2 Dispute Resolution

All disputes arising from or in connection with the Programme and these Terms and Conditions including its construction, validity, interpretation, and enforceability shall be attempted to be resolved informally through mediation process first.

If parties do not come to an agreement, the dispute shall be referred to The London Court of International Arbitration (LCIA), where it should be resolved according to the LCIA Rules of Arbitration.

11. Modification

Bluepear may, at its sole discretion, modify, amend, or discontinue the Programme or any part of these Terms and Conditions at any time. This may also include changes to the Referer Fee terms. Updated versions will be published on the Website with a revised “last modified” date. Your continued participation after such changes constitutes acceptance of the updated terms. If you do not agree, your sole remedy is to discontinue participation.
